Terms& Conditions.
The terms that govern your use of fohatdesigns.com and any architectural visualization work we undertake together.
These Terms set out the basis on which Fohat Designs (the "Studio", "we", "us") provides its website and its architectural visualization services. They cover how we work with you, how fees and deliverables are handled, and who owns the renders we create. By using the website or engaging us for a project, you agree to what follows.
This Agreement
These Terms govern two related things: your use of fohatdesigns.com, and any architectural visualization engagement you enter into with the Studio.
By browsing the website, submitting the contact form, or commissioning work, you confirm that you have read, understood and accepted these Terms. If you agree on behalf of a company, developer or firm, you confirm you are authorised to bind that organisation.
Where a project is confirmed through a separate proposal, quotation or statement of work, that document and these Terms are read together. If they conflict, the signed proposal for that project prevails on the point in question.
Definitions
A few terms carry a specific meaning throughout this document.
Studio, we, us — Fohat Designs, the architectural visualization studio operating from India and serving clients worldwide.
Client, you — the individual, developer, builder, architect, brand or organisation that engages the Studio or uses the website.
Services — the architectural visualization and related creative work described in Section 03.
Deliverables — the final renders, images, animations, walkthrough experiences and associated files produced for you under a confirmed engagement.
Client Materials — plans, drawings, models, brand assets, reference images, specifications and any other content you supply to inform the work.
Proposal — the quotation, estimate or statement of work describing the scope, fees and timeline for a specific project.
Website — fohatdesigns.com and its subdomains.
The Services & Scope
The Studio produces photorealistic architectural visualization and related creative work for the built environment.
Rendering — photoreal exterior, interior and landscape renders of architectural and real-estate projects.
Concepts & marketing visuals — architectural concept imagery and visuals for real-estate and developer marketing.
Cinematic experiences — animated walkthroughs and cinematic sequences that present a space in motion.
Scope — the exact deliverables, dimensions, formats, quantities and timeline for a project are defined in its Proposal, not by the website.
Anything not expressly described in the agreed Proposal falls outside that engagement. Additional views, alternative options, extra formats or expanded usage can be added as further work and quoted separately.
Engagement & Project Process
Good visualization begins with a clear brief. Our process keeps intent, references and approvals unambiguous at every stage.
Brief — a project begins once you provide a brief and the relevant Client Materials, and we confirm scope, fees and timeline in a Proposal.
Production — we develop the work through the stages set out in the Proposal, typically moving from layout and framing toward final photoreal output.
Revisions — each project includes a defined number of revision rounds. Revisions refine the agreed direction; changes to the brief, design or scope after work has begun are treated as additional work.
Approvals — at key milestones we ask for written approval before proceeding. Approving a stage confirms it as correct, and later changes to it may incur additional fees.
Timelines — stated timelines are good-faith estimates that depend on your timely provision of materials, feedback and approvals. Delays on your side move the schedule accordingly.
Fees, Quotations & Payment
Fees are set out in the Proposal for each project. We keep pricing transparent and expect payment to be equally straightforward.
Quotations — a Proposal is valid for the period stated in it and is based on the scope described. A material change in scope may require a revised quotation.
Deposit — unless agreed otherwise, projects commence on receipt of the advance payment specified in the Proposal, with the balance payable as set out there.
Invoicing — invoices are payable within the period stated on the invoice. Deliverables are released in accordance with Section 06.
Currency, taxes & charges — fees exclude applicable taxes, duties and bank or transfer charges unless stated otherwise; these are payable by you.
Late payment — overdue amounts may pause active work and delay delivery, and we reserve the right to apply reasonable interest or costs on sums outstanding beyond the due date.
Intellectual Property & Ownership
This section is central to how the Studio works: it sets out precisely who owns what, and when ownership passes to you.
Until a project is paid for in full, all rights in the work — draft renders, work-in-progress images, animations and final Deliverables — remain the exclusive property of the Studio. No usage, publication, distribution or reproduction rights are granted before full payment; any preview or draft is shared solely for review.
Transfer on full payment — on receipt of all fees due for a project, we assign to you ownership of the final Deliverables for the use described in the Proposal, so you may use them for your intended marketing and project purposes.
What transfers — ownership of the delivered final images, animations and experiences as agreed. Where the Proposal defines a specific usage or licence rather than a full assignment, that defined scope governs instead.
What we retain — the Studio keeps ownership of its tools of trade — 3D scene files, project files, models, materials, lighting rigs, scripts, templates and know-how — which are not part of the Deliverables and do not transfer unless expressly agreed and separately priced.
Client Materials — your plans, drawings, brand assets and other Client Materials remain yours throughout; nothing here transfers them to us.
Moral rights & credit — to the extent permitted by law, we ask not to be misattributed and reserve the right to be identified as author of the visualization work.
Source and project files are not included in any engagement by default. If you require them, this must be agreed in writing and quoted separately, as it represents a transfer of the Studio's production assets rather than the finished renders.
Client Responsibilities
The quality of the work depends in large part on what you provide and on the accuracy of what you supply.
Rights in materials — you warrant that you own or hold all necessary rights, licences and permissions in every plan, drawing, model, photograph, brand asset and reference you supply, and that our use of them will not infringe any third party's rights.
Accuracy — you are responsible for the accuracy and completeness of the Client Materials, including dimensions, specifications and design intent. We rely on what you give us and are not responsible for errors originating in it.
Timely cooperation — you agree to provide materials, feedback and approvals within reasonable timeframes so the project can progress as scheduled.
Lawful purpose — you confirm the work is commissioned for a lawful purpose and that any depicted project or property is one you are entitled to represent.
Point of contact — you agree to nominate a single decision-maker or clearly authorised contact to give feedback and approvals on your behalf.
Confidentiality
Unreleased developments and design information are sensitive. We treat them accordingly.
Each party agrees to keep confidential any non-public information disclosed by the other in connection with a project — including unreleased designs, plans, pricing and commercial details — and to use it only for the engagement. This does not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known, or must be disclosed by law.
Where a project is genuinely sensitive or under embargo, tell us. On request we will withhold it from public display and, where appropriate, agree specific confidentiality arrangements before work begins.
Portfolio & Promotional Rights
The Studio's reputation is built on the work it shows. Displaying completed projects is part of how we operate.
Unless we agree otherwise in writing, the Studio retains the right to display, reproduce and share completed Deliverables — in whole or in part — in its portfolio, on its website and social channels, in awards submissions, and in other promotional or editorial materials. This right survives the transfer of ownership to you and exists independently of it.
Opting out — if you would prefer a project not be shown, or shown only after a certain date, tell us in writing and we will honour a reasonable agreed arrangement.
Embargo & sensitivity — for confidential or pre-launch work, we hold publication until release or as otherwise agreed under Section 08.
Attribution — when presenting work, we may credit the project and relevant collaborators, and we will not misrepresent your involvement or endorsement.
Acceptable Use of the Website
The website is a place to view our work and reach us. We ask that it be used in good faith.
Permitted use — you may browse the site and use the contact form to enquire about working with the Studio.
No misuse — you agree not to disrupt, probe or gain unauthorised access to the site, to scrape or harvest its contents at scale, or to use it to transmit unlawful, misleading or harmful material.
Content — the imagery, text and design on the website belong to the Studio or its licensors and may not be copied, reproduced or reused without our written permission.
Contact form — information you submit should be accurate and your own to share, and is handled in line with our Privacy Policy.
Third-Party Materials & Software
Visualization work draws on a wider ecosystem of tools and assets, and it is fair to be clear about that.
Our work may incorporate third-party assets — licensed 3D models, textures, materials, entourage, fonts or software — used under their respective licences. Rights in these underlying assets remain with their owners and do not transfer to you; what you receive is the finished Deliverable, in which such assets are combined as part of the composition.
The website may also link to or rely on third-party services. We are not responsible for the content, availability or practices of external sites or services, and your use of them is subject to their own terms.
Data Protection & Privacy
How we handle personal data is set out in full in our Privacy Policy; the essentials are these.
The website collects only what you choose to share through the contact form — typically your name, email and project details — alongside limited, privacy-respecting analytics. We use this to respond to you and to operate the site, and we handle it in line with India's Digital Personal Data Protection Act, 2023.
Purpose — personal data is used to reply to enquiries and manage any resulting engagement; it is not sold or traded.
Your rights — you may request access to, correction of, or deletion of the personal data you have shared, subject to applicable law.
Client Materials — project files you supply are treated as confidential under Section 08 and used only for the work.
Full detail — our Privacy Policy governs collection, use, retention and your rights in full.
Warranties & Disclaimers
We stand behind the quality of our craft, while being honest about what visualization can and cannot promise.
The Studio warrants that it will perform the Services with reasonable skill and care, in a professional manner consistent with the standards of high-end architectural visualization.
Interpretive nature — renders are artistic interpretations produced from the materials and brief supplied. They illustrate design intent and are not construction documents, surveys or guarantees of as-built appearance, materials, dimensions or outcomes.
Reliance on inputs — we do not warrant results where they depend on inaccurate, incomplete or infringing Client Materials.
Website — the website is provided on an "as is" and "as available" basis, without warranty that it will be uninterrupted or error-free.
No wider warranties — except as expressly stated here, and to the extent permitted by law, all other warranties, express or implied, are excluded.
Limitation of Liability
This section sets sensible limits on what the Studio can be held responsible for.
To the fullest extent permitted by law, the Studio will not be liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, business, goodwill or anticipated savings, arising out of or in connection with the Services or the website, even if the possibility of such loss was known.
The Studio's total aggregate liability arising out of or in connection with a project, whether in contract, tort or otherwise, will not exceed the total fees actually paid for that project. Nothing in these Terms limits any liability that cannot lawfully be limited, including for fraud or for death or personal injury caused by negligence.
Indemnification
Where a problem arises from materials or use on your side, that responsibility rests with you.
You agree to indemnify and hold the Studio harmless from any claims, losses, damages and reasonable costs arising out of the Client Materials you supply, your breach of these Terms, your warranty of rights in Section 07, or your use of the Deliverables beyond the scope agreed in the Proposal. This includes claims that materials you provided infringe a third party's intellectual property or other rights.
Termination & Cancellation
Either party may end an engagement, on terms that fairly reflect work already done.
By you — you may cancel in writing at any time. Any advance paid is non-refundable, and you remain responsible for fees covering work completed and committed up to the cancellation date.
By us — we may suspend or end an engagement if fees fall materially overdue, if required cooperation or materials are not provided, or if you breach these Terms and do not remedy it within a reasonable period.
On termination — rights in unpaid work remain with the Studio, and no ownership passes for uncompleted or unpaid Deliverables.
Survival — provisions that by their nature should continue — intellectual property, portfolio rights, confidentiality, liability, indemnification and governing law — survive termination.
Force Majeure
Some events are genuinely beyond anyone's control.
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control — natural events, power or connectivity failures, acts of government, civil disruption or other force majeure. Affected timelines are extended for the duration of the event, and the parties will act in good faith to limit its impact.
Governing Law & Jurisdiction
A single, clear legal home for this agreement.
These Terms and any engagement under them are governed by the laws of India, and the courts of India have jurisdiction over any dispute arising out of or in connection with them. The parties agree to attempt to resolve matters amicably and in good faith before pursuing formal proceedings.
Changes to These Terms
These Terms may evolve as the Studio does.
We may update these Terms from time to time. The current version, marked with its effective date, always governs use of the website. For an active engagement, the version in force when your Proposal was accepted continues to apply to that project unless we agree otherwise in writing. Continued use of the website after an update constitutes acceptance of the revised Terms.
General Terms
A few standard provisions that keep the rest of this agreement coherent.
Entire agreement — these Terms and the relevant Proposal form the whole agreement for a project and supersede prior discussions on its subject.
Severability — if any provision is found unenforceable, the remainder continues in full effect.
Waiver — a failure to enforce a term is not a waiver of it or of any other term.
Assignment — you may not assign an engagement without our written consent; the Studio may assign only to a successor of its business.
Notices — formal notices should be given in writing to the contact address in Section 21.
Relationship — nothing here creates a partnership, employment or agency relationship between the parties.
